License Agreement for Power BI Visuals (part of the BI-Champ visuals suite)

At CodeX Enterprises LLC ("CodeX", "we", "us", "our") (doing business as "BI-Champ" and "bizintelligencechampions.com" and "Biz Intelligence Champions"), we appreciate your use of and contributions to our websites and products. This agreement applies specifically to our services which include the Power BI visuals and other Power BI products that we have made available to the public at large, and the bizintelligencechampions.com website (collectively known as the "Services", "Service").


This Agreement is between the entity you represent, or, if you do not designate an entity in connection with the Services, you individually ("you" or "your"), and CodeX Enterprises LLC ("we", "us", or "our", "CodeX"). Note: if you represent a consulting organization, you can only designate your consulting organization, not clients who have hired you.

Your ability to use some aspects of the Services relies on creating an Account ("Account"), which is also covered by this Agreement. Your continued use of the Services implies acceptance of this Agreement. If you do not agree to this Agreement, then you may not use the Services.


1. USE OF SERVICES


a. Right to use. We grant you the right to use our Services, as further described in this Agreement. We reserve all other rights.


2. ACCEPTABLE USE


a. You may use the Services only in accordance with this Agreement.


b. You may not:


  • reverse engineer, decompile, disassemble, or work around technical limitations in the Services, except to the extent applicable law permits it despite these limitations.
  • disable, tamper with, or otherwise attempt to circumvent any billing or licensing mechanism that controls your use of the Services.
  • rent, lease, lend, resell, transfer, or host the Services, to or for third parties except as expressly permitted in this agreement.
  • use the Services in a manner that violates copyright laws or violates the terms of service of systems and/or sites you use the Services to access.
  • use the Services in a manner that harms or disrupts communications or function of systems and/or sites you use the Services to access.
  • use the Services for any illegal or malicious purpose.
  • create and/or post misleading, unsolicited, unlawful, and/or spam postings/email.
  • use the Services for advertising purposes unless we authorize you to.
  • use the or Services to create a derivative work that substantially duplicates the Service's functionality.
  • use the Services in a way that violates US export restrictions or other local laws.
  • share or transfer license keys. (You acknowledge that this would damage CodeX.)

c. Additional terms for LLM AI Charts. The LLM AI Charts visual relies on third-party large language model (LLM) providers to process prompts. Depending on the model selected for the request, we route to one or more third-party LLM services (which may in turn dispatch to upstream model providers); the specific services, providers, and routing path used for a given model are a backend implementation detail and may change at any time. You may additionally configure your Account to use a "Bring-Your-Own" (BYO) connection — your own API key against your own provider account (e.g., your own Anthropic, OpenAI, or Azure OpenAI account). In BYO mode, prompts and outputs flow directly to your chosen provider under your contract with that provider, not ours; we do not control or take responsibility for that provider's policies, billing, retention, or data handling. In all modes we do not control the availability, accuracy, or results of the underlying LLM services and are not liable for interruptions, errors, or third-party policies. You are solely responsible for ensuring that any data you share through LLM AI Charts complies with your organization's data governance and applicable laws. The Product is not intended for sensitive personal data, classified information, or regulated data (e.g., HIPAA, PCI, GDPR special categories). Use in such contexts is at your own risk and responsibility.


3. PURCHASING PRODUCT AND/OR SERVICES


a. Payment model. For most visuals, we offer a free tier (version) and/or trial of the Services, and paid tiers. Specifics about what is included in each tier is covered at https://bizintelligencechampions.com/buy. Payments made are for licenses to use the Services and do not constitute a sale of the Services or any part thereof. We use the upfront payment model for most customers.


b. Free Tier. The free tier applies to use of only identified Services within the Power BI Desktop application, and does not include the "User Feedback Capture" or "LLM AI Charts" visuals. The free tier is intended to support personal use, development, and evaluation of the Services. Trying to use a visual outside of Power BI Desktop requires an active paid license, either through AppSource (when available), or an organizational (also referred to as "site") license purchased through bizintelligencechampions.com. Sharing files for end-user reporting among multiple people using only Power BI Desktop requires an organizational license. We may use watermarks or other means to indicate that a given visual is using the free tier.


c. AppSource. We make some of the Services available through Microsoft AppSource as a marketplace offering. (For example, the "User Feedback Capture" and "LLM AI Charts" visuals are not included in AppSource licensing.) Pricing and terms applicable to AppSource are current in the Service's AppSource listing. Licenses acquired through AppSource apply to individual Power BI visuals, are per user (report developers and viewers), apply to the "Power BI (on-line) Service", and are not organizational licenses. Any limitations applicable to AppSource will apply to the Services licensed through AppSource. If you do not renew a paid AppSource license, you will revert to using the free tier of the Service at the end of your license term. Licensing through AppSource does not grant you rights to an organizational license key (these are not synonymous).


d. Organizational ("site") licensing. By creating an account at bizintelligencechampions.com, one can make a purchase of an organizational license that allows your use of identified Services. Organizational licenses have expiry dates and are renewable. Organizational licenses can stack: purchasing an additional organizational license can extend the expiry date from an existing organizational license - but it is still a new key number that usually requires an update within your reports that use associated visuals (unless otherwise noted for the visual). If you do not renew an organizational license before it expires, you will revert to using the free tier of the Service at the end of your license term. An organizational license can be used by anyone who is in the same organizational structure (direct reporting) as the purchaser, and by consultants who may work temporarily for the organization.


e. Trial use. Where we offer a trial version of a given Power BI visual, we reserve the right to change that trial at any time, including changes in capabilities, limits, and features. We may offer a trial organizational license key, available when you create a new Account. Such a trial key functions the same as a purchased key, but it will have a limited term (for example, 21 days, subject to change).


f. Usage credits. Some Services such as the "User Feedback Capture" and "LLM AI Charts" visuals are limited based on usage credits, since some visuals consume our cloud resources. These credits are maintained by us, in our web services / database, and can be granted (such as when you create a new Account or purchase an organizational license), or purchased explicitly on the Buy page. Details about how credits work are covered, per visual, on the Learn More page. Your use of the applicable visual constitutes understanding and acceptance of the usage credit system implementation.


g. Refunds. Given that the free trial and free tier options allow for a full determination of product suitability, we do not offer refunds for paid purchases.


h. Rate and subscription changes. Rate changes for those who subscribe through AppSource is governed by price change terms managed by AppSource. Rate changes for organizational licenses only apply to future purchases and do not affect your current licenses.


i. You are responsible for understanding all the limitations of the Services and their licensing, prior to purchase. If you have questions, you can contact us at info@bizintelligencechampions.com.


j. Out-of-scope work. Anything not explicitly covered by our documentation or this license agreement is considered out-of-scope work. Contact us directly if you are interested in having custom development work performed, by us, on a consulting basis. (info@bizintelligencechampions.com)


k. Right to refuse service. We reserve the right to refuse sales to anyone who, including but not limited to: we believe have abused our sales process in the past, or have unpaid invoices.


l. If you wish to use Quotes or Purchase Orders, additional conditions may apply and are provided in your Quote.


4. CONSENT TO USE DATA


You agree to the terms of our Privacy Agreement which is available at https://bizintelligencechampions.com/privacy (and below).

For LLM AI Charts specifically: when using our hosted models, dataset metadata (column names, types, and aggregate statistics), any commentary or per-field descriptions you have entered into the visual's settings, and a limited sample of dataset rows used for chart-code execution may be transmitted to our third-party LLM service providers for processing. Prompts and outputs are not used for model training or shared with other customers. Prompts may be temporarily stored and reviewed by the underlying provider if flagged for abuse or misuse, in accordance with that provider's published terms. When using a Bring-Your-Own (BYO) provider connection, the same content flows to your chosen provider under your contract with that provider, not ours; data handling, retention, and abuse-review policies in BYO mode are governed by your provider's terms. In all modes, we log usage activity (request metadata, the LLM-generated code, runtime outcomes, error stack traces, IP address, and per-instance freemium usage counters) solely for diagnostic purposes, billing reconciliation, and service improvement; such logs are not used for model training.


5. TERMINATION


Without prejudice to any rights available to us at law or in equity, this Agreement will terminate at our discretion if you fail to comply with any term or conditions hereof, either by (1) our determination in consultation with you, or (2) you fail to respond to a claim of a breach of Agreement within a reasonable time, or (3) if we receive credible and valid complaints about your abuse of any terms of this Agreement. In such an event, you are obligated to cease use of all Services and destroy all license keys we may have previously provided to you. We will provide notice of such suspension to the email address you have associated with your Account. In the event of termination of this Agreement for any reason, all sections will survive except for Section 1 ("USE OF SERVICES") and Section 3 ("PURCHASING PRODUCT AND/OR SERVICES").


6. DISCLAIMER OF WARRANTIES


To the maximum extent permitted by applicable law, we provide the Services "AS IS", "AS AVAILABLE", AND WITH ALL FAULTS. You hereby disclaim all other warranties and conditions, whether express, implied or statutory, including any (if any) implied warranties, duties or conditions of merchantability, fitness for a particular purpose, of reliability or availability.


The entire risk as to the quality, or arising out of the use or performance of the Services, remains with you. Our Services may from time to time experience problems due to forces beyond our control, or even with in our control, we make no offer of a Service Level Agreement at this time.


No advice or information, whether oral or written, obtained by you from CodeX or through or from the Services or Products of CodeX shall create any warranty not expressly stated in this Agreement.


Additionally:


a. LLM Output Disclaimer. LLM AI Charts generates visualization code (Python, JavaScript, JSON / Vega specifications, or HTML) and accompanying text using large language models. The generated code is executed inside your Power BI session — in your browser via sandboxed runtimes (e.g., pyodide for Python, an inline Function constructor for JavaScript, or direct DOM rendering for HTML) — not on our servers. Such output may be inaccurate, incomplete, biased, or contain code that fails to execute or produces a misleading visualization. We make no representations or warranties as to the correctness, safety, or reliability of LLM-generated output, and you agree to independently validate the resulting chart and any supporting analysis before relying on it for any business decision.


b. Cooperation. To enable us to investigate any claimed defect or technical issue, you agree to provide reasonable cooperation, including information or materials (such as screenshots, configuration details, or a minimal reproduction file) necessary to assess the issue. We are not required to provide remedies for defects that cannot be verified due to lack of cooperation or lack of information.


7. EXCLUSION OF INCIDENTAL, CONSEQUENTIAL AND CERTAIN OTHER DAMAGES


To the maximum extent permitted by applicable law, in no event shall We or our suppliers be liable for any special, incidental, punitive, indirect, or consequential damages whatsoever (including damages for loss of profits, for business interruption, for personal injury, and for loss of privacy) arising out of or in any way related to the use of or inability to use the Services, the provision of or failure to provide support or other services, information, or related content through the Services.


8. LIMITATION OF LIABILITY AND REMEDIES


Notwithstanding any damages that you might incur for any reason whatsoever, our entire liability under any provision of this Agreement, and your exclusive remedy hereunder shall be limited to the amounts paid by your to CodeX for the Services giving rise to the claim. The foregoing limitations, exclusions and disclaimers shall apply to the maximum extent permitted by applicable law, even if any remedy fails of its essential purpose.

For clarity, we shall not be liable for any damages or losses arising from reliance on AI-generated insights, outputs, or recommendations produced by the LLM AI Charts visual.


9. REVISIONS TO TERMS


We reserve the right to revise this Agreement on our website (https://bizintelligencechampions.com/terms), or by notifying you by email (if you have a confirmed email address on file). If terms are changed, you will be advised when you next log into your Account. Your continued use of the Services shall be deemed to constitute acceptance of any revised terms.


10. YOUR INDEMNITY FOR MISUSE


If any third party action is initiated against CodeX and/or its affiliates as a result of your breach of this Agreement, you shall, at your expense, defend or settle and indemnify CodeX and/or its affiliates (as applicable) for such action, and you shall pay all damages attributable to such claim and awarded against CodeX and/or our affiliates after you have exhausted all rights of appeal which you in your sole discretion desires to exercise or amounts paid in a settlement approved by you in writing, provided (i) you are given prompt written notice of such claim, (ii) you have sole control of the defense and all related settlement negotiations, and (iii) we provide you with the assistance, information, and authority necessary to perform the above; reasonable expenses incurred by CodeX in providing such assistance will be reimbursed by you.


11. APPLICABLE LAW


If you are using the Services in the United States, this Agreement is governed by the laws of the State of California. If you are using the Services in Canada, unless expressly prohibited by local law, this Agreement is governed by the laws in force in the Province of Ontario, Canada; and, in respect of any dispute which may arise hereunder, you consent to the jurisdiction of the federal and provincial courts sitting in Toronto, Ontario. If you are using the Services in the European Union, Iceland, Norway, or Switzerland, then local law applies. If you are using the Services in any other country, then this Agreement is governed by the laws of the State of California. The foregoing provisions apply notwithstanding any conflict of laws principles that would require the laws of another jurisdiction. THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS AND THE UNIFORM COMPUTER INFORMATION TRANSACTIONS ACT DO NOT APPLY TO THIS AGREEMENT.


12. MISCELLANEOUS


a. This Agreement supersedes all prior or contemporaneous oral or written communications, proposals and representations with respect to the Services or any other subject matter covered by this Agreement.
b. To the extent the terms of any CodeX policies or programs for support services conflict with the terms of this Agreement, the terms of this Agreement shall control.
c. If any provision of this Agreement is held to be void, invalid, unenforceable or illegal, the other provisions shall continue in full force and effect.
d. You may not assign this Agreement (by operation of law or otherwise) without our prior written consent. Any prohibited assignment shall be null and void.
e. We may freely assign this Agreement.
f. In the event that any legal action is required in order to enforce or interpret any of the provisions of this Agreement, the prevailing party in such action shall recover all reasonable costs and expenses, including attorney's fees, incurred in connection therewith.
g. The section headings herein are provided for convenience only and have no substantive effect on the construction of this Agreement.
h. As used herein, the term "including" means "including but not limited to".
i. As used herein, the term "for example" means "including but not limited to". j. Neither party shall be liable for any failure to perform due to causes beyond its reasonable control.
k. If any provision of this Agreement is held to be unenforceable, the parties shall substitute for the affected provision an enforceable provision which approximates the intent and economic effect of the affected provision.
l. The failure by a party to exercise any right hereunder shall not operate as a waiver of such party’s right to exercise such right or any other right in the future.
m. All waivers and amendments must be in a writing signed by an authorized representative of each party.


13. MODERATION


You agree we may moderate CodeX website access and use in our sole discretion, e.g. by blocking (e.g. IP addresses), filtering, deletion, delay, omission, verification, and/or access/account/license termination. You agree (1) not to bypass said moderation, (2) we are not liable for moderating, not moderating, or representations as to moderating, and (3) nothing we say or do waives our right to moderate, or not.


14. OPEN-SOURCE LIBRARY ATTRIBUTION


Our Power BI custom visuals incorporate the following open-source libraries. Each is distributed under a permissive open-source license (MIT, BSD-2-Clause, BSD-3-Clause, Apache License 2.0, ISC, Mozilla Public License 2.0, or Zlib) that permits commercial use. License copies are bundled with each library per its license terms; we can also provide a copy of any specific license on request. Where a library is only used by a particular visual, that scope is noted inline. Server-side libraries that run only on our infrastructure and are not redistributed to users are not enumerated here.


Chart rendering and visualization libraries (bundled with the Power BI custom visuals; run in your browser).


In-browser Python runtime (loaded on demand by the LLM AI Charts visual when generated code uses matplotlib / seaborn / Plotly-Python). The Pyodide WebAssembly distribution and the Python packages below are fetched into your browser at render time.


Browser-side utility libraries (bundled with one or more CodeX visuals; specific consumers vary).

Build-time tooling (bundlers, linters, type checkers, test frameworks) is not enumerated because none of that code ships to you. This is our privacy policy as it relates to our Services (unless otherwise noted) and we will comply with it, as well as applicable U.S. privacy law, when we gather and use information from users of the Services. 1. COLLECTION OF INFORMATION


Our Services collects various types of information such as:


  • Voluntarily provided information which may include your name, email address, etc. which may be used when you purchase products and/or services, or to control application behavior.
  • Some information you provide is transient for our use, such as credit card data which we do not store in our own systems.
  • Information automatically collected when visiting our website, which may include cookies, third party tracking technologies and server logs.
  • Information necessary for account management, audit and billing.
  • Information which you have explicitly chosen to share with us, such as when using the "User Feedback Capture by BI-Champ" Power BI Visual or "LLM AI Charts by BI-Champ" Power BI Visual.

Our Services only collect personal information that you knowingly and willingly provide by way of surveys, completed forms, emails, and visual configuration (for visuals which use our web-based Services). It is the intent of our Services to use personal information only for the purpose for which it was requested and additional uses specifically provided by our Services.


We may also gather information about the type of browser you are using, IP address, the type of operating system and similar technical information to assist us in providing and maintaining superior quality of service.


We use Stripe for payment, analytics, and other business services. Stripe collects identifying information about the devices that connect to its services. Stripe uses this information to operate and improve the services it provides to us, including for fraud detection. 2. USE OF INFORMATION COLLECTED


CodeX may collect and may make use of personal information to ensure delivery of the services you need and request. At times, we may find it necessary to use personally identifiable information as a means to keep you informed of other possible products and/or services that may be available to you from us or third parties. We may also use it to influence advertising within our services. CodeX may also be in contact with you with regards to completing surveys and/or research questionnaires related to your opinion of current or potential future services that may be offered.


CodeX does not now, nor will it in the future, sell, rent, lease any customer lists and/or names and/or data collected from visuals to any third parties.


CodeX may deem it necessary to follow websites and/or pages that our users may frequent in an effort to gleam what types of services and/or products may be the most popular to customers or the general public.


CodeX may disclose your personal information, without prior notice to you, only if required to do so in accordance with applicable laws and/or in good faith belief that such action is deemed necessary or is required in an effort to:


  • Remain in conformance with any decrees, laws and/or statutes or in an effort to comply with any process which may be served upon CodeX and/or our website;
  • Maintain, safeguard and/or preserve all the rights and/or property of CodeX; and
  • Perform under demanding conditions in an effort to safeguard safety of users of the services and/or the general public.

We will not tolerate abusive, malicious, or illegal behavior as it relates to the use of our services. We reserve the right to initiate contact with legal authorities and share applicable information with them if we reasonably believe our services and/or members of our user community have been or are being abused. It is our foremost goal to maintain a high degree of safety and security for our user community and the broader community at large.


3. SHARING AND TRANSFER OF DATA


Our servers are located in the United States. If you are accessing our Services from outside the United States, please be aware that your information may be transferred to, stored, and processed by us in our facilities and by those third parties with whom we may share your personal information (see "Collection of Information" above), in the United States and other locations.


If you are a resident in the European Economic Area (EEA) or United Kingdom (UK), then these countries may not necessarily have data protection laws or similar laws as comprehensive as those in your country. We will however take all necessary measures to protect your personal information in accordance with this privacy policy and applicable law.


Binding Corporate Rules:


We have implemented internal policies (known as Binding Corporate Rules) to ensure that your personal information is processed in accordance with applicable data protection legislation. Binding Corporate Rules are our commitment to apply the same data protection standards when processing your personal information, regardless of where the data is located.


4. LEGAL BASES FOR PROCESSING


If you are located in the EU or UK, this section applies to you. The General Data Protection Regulation (GDPR) requires us to disclose the legal bases we rely on to process any personal information about you. The legal bases that may apply to our processing of your personal information include:


  • Consent: You have consented to our processing your personal information for a specific purpose.
  • Legitimate Interests: We may process your information when we believe it is reasonably necessary to achieve our legitimate business interests and those interests do not outweigh your interests and fundamental rights and freedoms. For example, we may process your information for reasons including: a) send users information about special offers, b) display personalized advertising, c) analyze how our Services are used, d) support our marketing activities, e) diagnose problems.
  • Legal Obligations: We may process your information where we believe it is necessary for compliance with our legal obligations.
  • Vital Interests: We may process your information where we believe it is necessary to protect your vital interests or the vital interests of a third party, such as situations involving potential threats to safety.

We may process your information if you have given us specific permission (i.e. express consent) to use your personal information in a specific purpose, or in situations where your permission can be inferred (i.e. implied consent). You can withdraw consent at any time, such as by deleting your Account, or contacting us at info@bizintelligencechampions.com.


5. COOKIES AND TRACKING


Our website uses cookies and browser protected local storage to enhance User experience, and is considered a prerequisite for Account creation. You may use aspects of our Service without consenting to cookie use, but we make no warranty about the functionality of our Services without cookies enabled.


6. YOUR PRIVACY RIGHTS


In some regions, such as the European Economic Area (EEA) and United Kingdom (UK), you have rights that allow you greater access to and control over your personal information. You may review, change, or terminate your Account at any time. Access to your information is controlled by the Account profile page. You can request a copy of your personal information, deletion of your account, and depending on certain circumstances, you may object to processing of your personal information. You can exercise these rights by contacting us at info@bizintelligencechampions.com.


We will consider and act upon any request in accordance with applicable data protection laws.


If you are located in the EEA or UK and you believe we are unlawfully processing your personal information, you also have the right to complain to your local data protection supervisory authority. If you are located in Switzerland, the contact details for the data protection authorities are available here: https://www.edoeb.admin.ch/edoeb/en/home.html.


Withdrawing your consent. The simplest way to withdraw your consent is to delete your Account. Note that upon your request to delete your account, we will deactivate or delete your account and information from our active databases. However, some information may be retained in our files to prevent fraud, troubleshoot problems, assist with any investigations, enforce our Terms of Use and/or comply with legal requirements.


7. UNSUBSCRIBE OR OPT-OUT


CodeX may need to communicate with you as part of our obligations under Terms of Use for our Services.
