1. Overview
Welcome to the CodeX Enterprises LLC Affiliate Program (“Program”). These Terms & Conditions (“Terms”) govern your participation as an affiliate (“Affiliate”).
This Program covers:
- LLM AI Charts, and
- Any future CodeX Enterprises LLC products or services designated as eligible for affiliate commissions (“Eligible Products”).
By participating in the Program, you agree to these Terms. CodeX Enterprises LLC (“Company,” “we,” “our,” “us”) may update these Terms at any time with reasonable notice.
2. Eligibility
To participate in the Program, you must:
- Be at least 18 years old.
- Operate a valid online presence (e.g., YouTube, TikTok, Instagram, X, LinkedIn, podcast, website, blog, newsletter).
- Provide accurate contact and payment information.
- Not promote illegal, hateful, or deceptive content.
We reserve the right to approve or reject any application.
3. Affiliate Responsibilities
By participating in the Program, you agree to:
- Promote Eligible Products honestly and accurately.
- Not make unapproved claims or promises on behalf of the Company.

Comply with all applicable advertising laws and guidelines, including:
- FTC Endorsement Guidelines (clear disclosure required)
- Platform-specific promotional rules
- Consumer protection laws
- Use only approved coupon codes, tracking links, and marketing assets.
You may not:
- Use paid ads targeting Company or product brand names without permission.
- Engage in spam, false statements, or deceptive practices.
- Offer unapproved incentives or cashbacks.
- Use your own affiliate code to purchase Eligible Products.
- Post affiliate links on coupon aggregation or discount websites.
4. Coupon Codes & Tracking
The Company will provide each Affiliate with a unique coupon code and/or tracking link.
Purchases made using your code or link qualify as Qualified Conversions. Customers may receive discounts or bonus offers solely at the Company’s discretion.
The Company is not responsible for:
- Browser or tracking issues
- Customer privacy settings
- Misused or modified links/codes
5. Commission Structure
Unless otherwise stated in writing:
- Commission Rate: [Example: 20% of net revenue]
- Payment Schedule: Monthly, within 30 days after month-end
- Minimum Payout: [Example: $50]
- Payment Methods: [PayPal / ACH / Other]
Net revenue means revenue after refunds, taxes, discounts, and processing fees. It is only revenue recognized using Stripe (not AppSource).
If a sale is refunded or reversed, commissions may be withheld or deducted from future payments.
6. Prohibited Activities
Affiliates may not:
- Misrepresent their relationship with the Company.
- Claim future features or timelines not publicly confirmed.
- Create derivative branding or modify Company logos.
- Bid on Company or product brand names in paid ads.
- Use bots, fake traffic, or fraudulent click activity.
- Post affiliate codes on coupon or promo-sharing websites.
Violations may result in immediate termination and forfeiture of unpaid commissions.
7. Intellectual Property
Affiliates receive a limited, non-exclusive, revocable license to use Company-provided:
- Logos
- Product names
- Marketing copy
- Promotional assets
All intellectual property remains the sole property of CodeX Enterprises LLC. Modification of Company assets is prohibited.
8. Confidentiality
Affiliates may receive non-public information regarding commission rates, feature roadmaps, product previews, or marketing plans. Such information must remain confidential unless the Company explicitly approves disclosure.
9. Termination
Either party may terminate participation at any time.
Upon termination:
- Affiliate must remove promo codes and tracking links.
- Affiliate must stop promoting Eligible Products.
- Qualified commissions earned prior to termination will be paid in the next payout cycle.
If termination is due to violations, unpaid commissions may be forfeited.
10. Limitation of Liability
To the extent permitted by law, CodeX Enterprises LLC is not liable for indirect, incidental, or consequential damages. Total liability is limited to the total commissions paid to the Affiliate during the previous six months.
11. Independent Contractor Status
Affiliates are independent contractors, not employees, partners, or agents of the Company. Affiliates are responsible for their own taxes and legal compliance.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
All disputes shall be resolved exclusively in the courts of California.
13. Acceptance
By joining or participating in the Program, you acknowledge that you have read, understood, and agreed to these Terms.
